The CIP turns every employee of rightflow GmbH into a real co-owner — through membership in the INF cooperative. Specifics evolve; the principles do not.
Real ownership
Members hold cooperative shares at nominal value. No phantom stock. No strike price. No options theatre.
Annual grant
A vesting concept that adapts to your situation on a monthly basis — with an equal-treatment principle that applies to everyone.
Pool-size modifier
Early members are rewarded more. A phase-dependent multiplier (Seed → Series D) compensates the risk of being first.
Tax-efficient by design¹
Subscription at nominal value avoids dry income. Distributions taxed as capital gains instead of wage tax.¹
One cap-table line
INF eG is a single, pooled holder on the rightflow cap table. The pool is managed internally — new shares can be issued continuously, and increasing the pool's stake in rightflow simply requires hurdle shares. Good leavers keep their shares; only bad leavers forfeit.
Exit participation
On a liquidity event, members participate via partial cancellation of their cooperative shares — including acceleration mechanics for protection.
Member-governed
Members decide themselves how shares are allocated within the pool and how the program evolves over time. The CIP belongs to the people building rightflow — not to a committee above them.
